New Share Capital Registered


Oslo, Norway, 16 December 2021: Reference is made to the stock exchange notice from Cloudberry Clean Energy ASA (“Cloudberry” or the “Company”) on 8 December 2021 regarding the successful private placement and issuance of 41,379,310 new shares at a subscription price of NOK 14.50 per share (the “Private Placement”).

The new share capital pertaining to the Private Placement has today been registered with the Norwegian Register of Business Enterprises (Nw.: Foretaksregisteret). The Company`s share capital has been increased by NOK 10,344,827.50 by the issuance of 41,379,310 new shares.

The Company’s new share capital is NOK 58,811,161.50 divided among 235,244,646 shares, each with a nominal value of NOK 0.25. Each share carries one vote.

38,750,000 of the new shares will be registered with the Central Securities Depository (VPS) on ISIN NO0010876642, which is the same ISIN as the Company's existing shares and be listed on Oslo Børs from issuance in the VPS.

The remaining 2,629,310 of the new shares will be registered with the VPS on a separate ISIN from the existing shares of the Company, pending publication by the Company of a listing prospectus (the "Listing Prospectus") and will not be tradable on Oslo Børs until the Listing Prospectus has been approved by the Norwegian Financial Supervisory Authority and published by the Company. Following publication of the Listing Prospectus, the 2,629,310 shares will assume the same ISIN in the VPS as the other outstanding shares of the Company and be tradable on Oslo Børs.
